Change in shareholding of the Company and a drop below the 15% threshold of votes at the General Meeting by Tar Heel Capital

The Board of LIVECHAT SOFTWARE SA (“Company”, “Issuer”) announces that on 19 May 2015, the Company received a notification filed on behalf of Tar Heel Capital OS, LLC, based in the US (THC), with information about the change in shareholding of more than 2% of the total number of votes and the reduction of the involvement below the 15% threshold of the total number of votes in the Company. The notice was filed under Art. 87. 1(2)(a) and Art. 69. 1(2) and 2(1)(a) of the Act as of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading and Public Companies. The changes in shareholding occurred as a result of a OTC transaction carried out on 14 May 2015 in which THC OS sold 1,047,074 shares of the Company representing 4.07% of the share capital and entitling to a similar number of votes at the General Meeting. Before carrying out the transaction THC OC:  held a total of 4,552,600 shares, representing 17.68% of share capital and entitling to 4,552,600 votes at the General Meeting, which represents 17,68% of the total number of votes in the Company;  did not hold indirectly any shares of the Company. After carrying out the transaction:  directly holds 3,505,526 shares of the Company, representing 13.61% of share capital and entitling to 3,505,526 votes at the General Meeting of Shareholders and constituting 13.61% of the total number of votes in the Company;  does not hold indirectly any shares of the Company. The notice also informed that there were no subsidiaries of THC OS, which held shares of the Company and that there were no persons referred to in Article. 87. 1(3)(c) of the Act.
