The Managing Board of LiveChat Software S.A. (the Company, the Issuer) would like to announce that on 22 September 2017, it has a received a notification from Copernicus Capital Towarzystwo Funduszy Inwestycyjnych S.A. (Copernicus TFI).
Copernicus TFI, as an entity responsible for funds under its management, FULCRUM Fundusz Inwestycyjny Zamknięty, FALCON Fundusz Inwestycyjny Zamknięty, Napoleon Fundusz Inwestycyjny Zamknięty, Fundusz Inwestycyjny Otwarty Subfundusz Akcji, Copernicus Absolute Return Fundusz Inwestycyjny Zamknięty, has notified the Company about the change in the ownership status involving shares of the Issuer:
- independently by FULCRUM FIZ, whose share declined below 5% of the votes at a general meeting
- combined, by the funds listed above, as a result of the reduction of their combined stake below the 5% threshold at the general meeting.
These changes have occurred as a result of the following transactions, conducted on 14 September:
- disposal by FULCRUM Fundusz Inwestycyjny Zamknięty of 1.366.193 shares representing 5.31% of the Company’s capital
- disposal by Napoleon Fundusz Inwestycyjny Zamknięty of 540.367 shares representing 2.10% of the Company’s capital
- purchase by Copernicus Absolute Return Fundusz Inwestycyjny Zamknięty of 3.000 shares representing 0.01% of the Company’s capital.
Prior to the transaction, FULCRUM Fundusz Inwestycyjny Zamknięty owned 1.368.193 shares representing 5.31% of the Company’s capital, FALCON Fundusz Inwestycyjny Zamknięty owned 311.521 shares representing 1.21% of the Company’s capital, Napoleon Fundusz Inwestycyjny Zamknięty owned 540.367 shares representing 2.10% shares of the Company’s capital, Fundusz Inwestycyjny Otwarty Subfundusz Akcji owned 196 shares representing 0.0008% of the Company’s capital, Copernicus Absolute Return Fundusz Inwestycyjny Zamknięty held no shares in the Company.
Upon completion of the transaction FULCRUM Fundusz Inwestycyjny Zamknięty owns 2.000 shares representing 0.01% of the Company’s capital, Napoleon Fundusz Inwestycyjny Zamknięty owns no shares of the Company, Copernicus Absolute Return Fundusz Inwestycyjny Zamknięty owns 3.000 shares representing 0.01% of the Company’s initial capital. In total, following the transaction, funds managed by Copernicus TFI and mentioned in the notification, own a combined 316.717 shares representing 1.2308% of the Company’s capital and the same number of votes at the general meeting.

Notification of Copernicus TFI The Issuer’s Managing Board has announced in a report 24/2017 that it was notified by the Shareholders about the launch of an ABB procedure. In reports no. 25/2017, 26/2017 and 27/2017 it has announced that shares were purchased by members of the Managing Board and the Supervisory Board as part of the same procedure.
